Please Read Carefully Before Using Logbook PH These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and Puka Consulting (“Company,” “we,” “our,” or “us”), governing your access to and use of the Logbook PH platform (“Service”). By registering an account, starting a free trial, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

1. Definitions

For the purposes of these Terms, the following definitions apply:

"Service"The Logbook PH web application, APIs, and related tools provided by Puka Consulting.
"Platform"The technical infrastructure, software, and interfaces through which the Service is delivered.
"Organization"A registered business or entity that subscribes to and uses the Service.
"Organization Admin"The primary account holder and administrator of an Organization on the platform.
"User"Any individual granted access to the Service under an Organization’s account, including admins, managers, supervisors, and cashiers.
"Store"An individual location or operational unit registered under an Organization’s account.
"Subscription"The paid access plan selected by the Organization.
"Content"Any data, text, records, reports, or information submitted to or generated on the Service.
"Confidential Information"Non-public information disclosed by either party in connection with the Service.

2. About Logbook PH

Logbook PH is a Software-as-a-Service (SaaS) platform designed for restaurant and food & beverage operators to manage daily operational workflows, including daily closing records, budget monitoring, sales reporting, and store performance tracking.

Logbook PH is a product of Puka Consulting. We reserve the right to transfer this Agreement, and all associated user accounts and data, to a successor legal entity established for the purpose of operating Logbook PH. We will provide written notice to active subscribers no less than 30 days before any such transfer takes effect. Continued use of the Service after such notice constitutes acceptance of the transfer.

3. Eligibility and Account Registration

3.1 Eligibility

  • You must be at least 18 years of age to register an account.

  • You must be authorized to enter into a legally binding agreement on behalf of yourself or your organization.

  • The Service is intended for use by businesses registered or operating in the Philippines, though access is not restricted to the Philippines.

3.2 Account Registration

  • You must provide accurate, current, and complete information during registration.

  • You are responsible for maintaining the confidentiality of your account credentials.

  • You must notify us immediately at support@logbookph.com if you become aware of any unauthorized access to your account.

  • You may not share your account credentials with any person outside your organization.

  • Each Organization may register only one primary account. Multiple store locations are managed within a single Organization account.

3.3 Organization Admin Responsibilities

The Organization Admin is responsible for:

  • Creating and managing user accounts within the Organization.

  • Assigning appropriate roles and store access to users.

  • Ensuring users comply with these Terms.

  • All activity that occurs under the Organization’s account, including actions taken by users.

4. The Service

4.1 Service Description

Logbook PH provides the following core modules as part of the Essential subscription tier:

  • Authentication and access management

  • Organization and store management

  • User management with role-based access control

  • Dashboard and store performance overview

  • Weekly budget management

  • Daily Closing Form for recording end-of-day financials and operations

  • Verification module for review and approval of submissions

  • Form configuration for customizable operational fields

  • Reports and submission history

4.2 Service Access

  • Access to the Service is provided via a web browser on desktop and mobile devices.

  • We do not guarantee compatibility with all browsers or devices. We recommend using current versions of Google Chrome, Firefox, Safari, or Microsoft Edge.

  • Certain features may require a stable internet connection.

4.3 Service Modifications

  • We reserve the right to modify, update, or discontinue any feature of the Service at any time.

  • We will make reasonable efforts to notify active subscribers of material changes.

  • We are not liable for any impact on your operations resulting from feature changes or discontinuation.

5. Free Trial

New Organizations are eligible for a 14-day free trial of the Service. The free trial is subject to the following conditions:

  • No payment information is required to begin the trial.

  • Only one free trial is permitted per Organization.

  • We reserve the right to limit, suspend, or revoke trial access at our discretion.

  • If you subscribe after the trial, billing terms are governed by our Billing & Cancellation Policy, available at logbookph.com/cancellation.

We may offer promotional trials of different durations from time to time. Such offers will be governed by the promotional terms stated at the time of offer.

6. Subscriptions, Billing, and Cancellation

Subscriptions, billing cycles, proration, store additions, store deactivations, failed payments, and cancellation are governed by the Logbook PH Billing & Cancellation Policy, which is incorporated into these Terms by reference and available at logbookph.com/cancellation.

Key points from that policy:

  • Subscriptions are billed per store, per month.

  • Billing begins on Day 15 following your free trial start date.

  • Adding a store mid-cycle results in a prorated charge for the remainder of that billing period.

  • Deactivating a store mid-cycle does not result in a refund; access continues to the end of the paid period.

  • You may cancel at any time. Cancellation takes effect at the end of your current paid billing period.

  • No refunds are issued for subscription fees already charged, except in the case of a verified billing error.

By subscribing, you authorize Puka Consulting to charge your selected payment method on a recurring basis in accordance with the Billing & Cancellation Policy.

7. User Roles and Access Controls

The Service supports multiple user roles with different levels of access. The Organization Admin is responsible for assigning roles accurately and ensuring that each user has only the access necessary for their function.

System AdminInternal Logbook PH platform administration. Manages organizations at the platform level. Not accessible to customers.

The Organization Admin acknowledges that:

  • Assigning incorrect roles may result in unauthorized access to sensitive operational data.

  • Puka Consulting is not responsible for access control failures resulting from incorrect role assignments made by the Organization Admin.

  • User accounts must be deactivated promptly when employees leave the organization.

8. Acceptable Use Policy

You agree to use the Service only for its intended purpose of restaurant and food & beverage operations management. The following activities are strictly prohibited:

8.1 Prohibited Activities

  • Using the Service for any unlawful purpose or in violation of Philippine law, including the Data Privacy Act of 2012 (Republic Act No. 10173).

  • Attempting to gain unauthorized access to other organizations’ accounts or data.

  • Reverse engineering, decompiling, or disassembling any part of the platform.

  • Introducing malicious code, viruses, or any software that disrupts or damages the Service.

  • Scraping, crawling, or extracting data from the platform using automated tools without prior written consent.

  • Reselling, sublicensing, or otherwise commercializing access to the Service without prior written authorization from Puka Consulting.

  • Impersonating another user, organization, or entity.

  • Uploading content that is defamatory, obscene, or infringes on any third-party intellectual property rights.

8.2 Consequences of Violation

Violation of the Acceptable Use Policy may result in immediate suspension or termination of your account without prior notice and without refund of any prepaid subscription fees. We reserve the right to report violations to applicable legal authorities.

9. Content and Data

9.1 Your Content

  • You retain ownership of all Content you submit to the Service, including operational data, financial records, and closing reports.

  • By submitting Content, you grant Puka Consulting a limited, non-exclusive license to store, process, and display that Content solely for the purpose of providing the Service to you.

  • You represent that you have all necessary rights to submit any Content you enter into the platform.

9.2 Data Accuracy

  • You are solely responsible for the accuracy, completeness, and integrity of the data you enter into the platform.

  • Puka Consulting is not responsible for errors, losses, or operational decisions resulting from inaccurate data entered by your users.

9.3 Data Retention

  • Active account data is retained for as long as your subscription is active.

  • Upon cancellation or expiration of your subscription, data is retained for 30 days before permanent deletion.

  • Data associated with deactivated stores is retained for 12 months from the deactivation date and accessible to Organization Admins.

  • Upon written request, we will delete your data earlier than the standard retention period, subject to any legal retention obligations.

9.4 Aggregated and Anonymized Data

We may use aggregated, anonymized, non-personally identifiable data derived from platform usage to improve the Service, conduct research, and develop new features. This data will not identify you or your organization individually.

10. Privacy and Data Protection

Our collection, use, and processing of personal data is governed by our Privacy Policy, available at logbookph.com/privacy, which is incorporated into these Terms by reference.

Logbook PH processes personal data in compliance with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and its Implementing Rules and Regulations. As an Organization using the Service, you acknowledge that you are a Data Controller for the personal data of your employees and users submitted to the platform, and that Puka Consulting acts as a Data Processor on your behalf.

Organization Admins are responsible for ensuring that personal data submitted to the platform has been collected lawfully and that users have been informed of its use in connection with this Service.

11. Intellectual Property

11.1 Our Property

Logbook PH, its branding, platform design, software code, algorithms, modules, features, documentation, and all associated intellectual property are the exclusive property of Puka Consulting. These Terms do not transfer any ownership rights to you.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service solely for your internal business operations during the term of your active subscription.

11.2 Your Content

You retain all ownership rights to your Content. Nothing in these Terms grants Puka Consulting ownership of your Content.

11.3 Feedback

If you submit suggestions, feature requests, or feedback about the Service, you grant Puka Consulting a perpetual, royalty-free license to use that feedback to improve the Service without any obligation to compensate you.

12. Confidentiality

Each party agrees to keep the other party’s Confidential Information strictly confidential and not to disclose it to any third party without prior written consent, except as required by law or legal process.

Confidential Information does not include information that: (a) is or becomes publicly known through no breach of these Terms; (b) was already known to the receiving party at the time of disclosure; or (c) was independently developed by the receiving party without reference to the disclosing party’s Confidential Information.

Puka Consulting’s obligations with respect to your data are further described in the Privacy Policy.

13. Service Availability and Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to:

  • Scheduled maintenance (we will endeavor to provide advance notice).

  • Emergency maintenance or urgent security patches.

  • Third-party infrastructure issues (hosting providers, payment processors, etc.).

  • Force majeure events.

We will make reasonable efforts to restore service promptly in the event of unplanned downtime. Scheduled maintenance will, where possible, be conducted during off-peak hours and announced via email or in-app notification.

No refund or service credit will be issued for downtime unless we offer a formal Service Level Agreement (SLA), which is not included in the current Essential tier.

14. Disclaimers and Limitation of Liability

14.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY PHILIPPINE LAW, PUKA CONSULTING DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be error-free, that defects will be corrected, or that the Service is free of viruses or other harmful components. We do not warrant the accuracy or completeness of any content or data provided through the Service.

14.2 Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PUKA CONSULTING, ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;

  • LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL;

  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA;

  • ANY DAMAGES RESULTING FROM YOUR RELIANCE ON DATA GENERATED BY THE PLATFORM.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14.3 Operational Decisions

Logbook PH is a tool designed to support operational record-keeping. You acknowledge that all business decisions, financial management decisions, and staffing decisions remain your sole responsibility. Puka Consulting is not liable for any operational, financial, or staffing outcomes resulting from the use of, or reliance on, data generated by the Service.

15. Indemnification

You agree to defend, indemnify, and hold harmless Puka Consulting and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

  • Your use of the Service in violation of these Terms.

  • Content submitted by you or your users that infringes on any third party’s rights.

  • Your violation of any applicable law, including the Philippine Data Privacy Act.

  • Any dispute between you and your employees or users arising from the use of the Service.

16. Suspension and Termination

16.1 Termination by You

You may cancel your subscription and terminate your use of the Service at any time by following the cancellation process described in the Billing & Cancellation Policy at logbookph.com/cancellation.

16.2 Termination or Suspension by Us

We reserve the right to suspend or terminate your account, with or without notice, in the following circumstances:

  • Violation of these Terms, including the Acceptable Use Policy.

  • Failure to pay subscription fees after the applicable grace period.

  • Suspected fraudulent, abusive, or illegal activity.

  • If we determine that continued provision of the Service creates legal or reputational risk.

In cases of termination for cause, no refund of prepaid fees will be issued.

16.3 Effect of Termination

  • Upon termination, your access to the Service and your users’ access will be immediately revoked.

  • Your Content will be retained for 30 days and then permanently deleted, unless you request earlier deletion.

  • Sections of these Terms that by their nature should survive termination (including Sections 9, 11, 12, 14, 15, and 18) shall continue to apply after termination.

17. Third-Party Services

The Service integrates with or relies upon third-party services, including but not limited to:

  • PayMongo – Payment processing

  • SendGrid – Transactional email

  • Neon (PostgreSQL) – Database hosting (US-based)

  • Railway – Application hosting (US-based)

  • Vercel – Frontend delivery (US-based)

Your use of the Service is subject to the terms and privacy policies of these third-party providers. Puka Consulting is not responsible for the practices, availability, or conduct of any third-party service provider. Offshore data processing by these providers is disclosed in the Privacy Policy in accordance with the Data Privacy Act of 2012.

18. Governing Law and Dispute Resolution

18.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.

18.2 Dispute Resolution

In the event of any dispute arising from or related to these Terms or the Service, the parties agree to first attempt to resolve the dispute through good-faith negotiation within 30 days of written notice of the dispute.

If the dispute is not resolved through negotiation, it shall be submitted to mediation before the appropriate Philippine mediation center, prior to any formal legal proceedings.

Any unresolved disputes shall be subject to the exclusive jurisdiction of the appropriate courts of the Philippines. For consumer-related claims, you may also have the right to file a complaint with the Department of Trade and Industry (DTI) or the National Privacy Commission (NPC) where applicable.

18.3 Consumer Rights

Nothing in these Terms limits any rights you may have under Philippine consumer protection laws, including Republic Act No. 7394 (Consumer Act of the Philippines).

19. Changes to These Terms

We reserve the right to update or modify these Terms at any time. When we make material changes, we will:

  • Notify active subscribers by email at least 14 days before the changes take effect.

  • Post the updated Terms on our website at logbookph.com/terms with the updated effective date.

Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must cancel your subscription before the effective date.

For minor or non-material changes (such as corrections, clarifications, or changes required by law), we may update the Terms with shorter notice or without notice.

20. General Provisions

20.1 Entire Agreement

These Terms, together with the Billing & Cancellation Policy and Privacy Policy, constitute the entire agreement between you and Puka Consulting regarding the Service and supersede all prior agreements or understandings.

20.2 Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

20.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

20.4 Assignment

You may not assign or transfer these Terms or your account to any third party without our prior written consent. We may assign these Terms to a successor entity operating the Logbook PH platform, with notice to you as described in Section 2.

20.5 Force Majeure

Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, pandemics, power outages, or third-party infrastructure failures.

20.6 Language

These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version shall prevail.
